1. TITLE
The name of the Association shall be the Graduates’ Association of the Western
Australian School of Mines also known as the Western Australian School of Mines
Graduates’ Association abbreviated to WASM Graduates Association or WASMGA.
2. MEMBERSHIP
The following persons shall be eligible for membership of the Association:
2.1 Ordinary Members
Graduates from diploma, associateship, degree, two – year undergraduate
course, and any recognised post graduate course or other equivalent course
of the WA School of Mines.
2.2 Associate Members
2.2.1 Graduates of other education institutions, who hold qualifications
acceptable by the Council as being at least equivalent to those in 2.1.
2.2.2 Persons having appropriate association with the School, who may at
the discretion of the Council, be admitted to Associate Membership.
2.2.3 All Associate members must be able to provide evidence to their good
character as the council may require. Each Associate member
requires a nomination and second from the council.
2.3 Life Members
Active Members who have retired, or those who have reached a certain age
goal or number of years since graduation, etc as chosen by the Council.
2.3 Honorary Members
Persons invited by the Council to accept membership because of meritorious
service to the School, graduates who have retired. There will be no
membership fees for honorary members.
Application for membership under Clauses 2.1 and 2.2 shall be made to the
Council.
3. AIMS AND OBJECTIVES
3.1 To maintain and advance the common interest of members of the
Association.
3.2 To maintain and advance the common interest of members of the
Association.
3.3 To maintain and advance the reputation and well-being of the WA School of
Mines.
3.4 To provide opportunities for contact between graduates of the School and to
assist them to maintain contact with the School itself.
3.5 To co-operate with and participate as appropriate in the activities of any
organisation which has similar aims.
4. COUNCIL
4.1 The control and management of the Association shall be vested in a Council,
all members of which shall be financial members of the Association having
obtained their respective qualification from the Kalgoorlie campus.
4.2 The Council shall consist of:
a) President
b) Immediate Past President
c) Vice President
d) Treasurer
e) Minimum of 5 other elected financial members of the Association
f) Registrar who shall also act as Secretary to the Council
4.3 The council at its discretion may co-opt to three additional financial members.
4.4 The Registrar shall be a member of the Administrative staff of the School,
appointed after consultation between the President of the Association and
the Principal and shall be considered a financial member of the Graduates’
Association.
4.5 In the event of the President resigning or retiring during the term of office, the
Vice-President shall assume the duties of President until the next Annual
General Meeting. In the event of the Vice President or Treasurer resigning
or retiring during their term of office, the Council shall have the power to
appoint to the vacancy one of its members who shall hold office until the
Annual General Meeting.
5. COUNCIL MEETINGS
5.1 The President shall be the Chairman of Council. In the absence of the
President, or if he is unwilling to act, the Vice President shall be Chairman of
failing him, the members present shall elect one of their number to be
Chairman for the meeting.
5.2 At any meeting of the Council, each member present shall be entitled to one
vote.
5.3 The Chairman shall be permitted to exercise a casting vote.
5.4 No question shall be decided at any meeting of the Council unless at least
six (6) members thereof be present in person or through electronic means
such as phone, video conferencing or by virtual meeting format using email
exchanges.
5.5 Notices of meetings of the Council shall state the matters to be considered at
such meetings.
5.6 A record of all the proceedings of the Council shall be entered into a Minute
Book.
6. ELECTIONS
6.1 Election of the Council shall be held annually. Those elected shall take office
as from the completion of the Annual General Meeting and shall hold office
for the term of twenty four (24) months, or until the next appropriate Annual
General Meeting.
6.2 At each election of the Association, each financial member shall be entitled
to one vote.
6.3 The Registrar shall act as the Returning Officer.
6.4 The President, Vice President and Treasurer shall be elected at the Annual
General Meeting from amongst those members elected to the Council and
shall hold office for a period of twelve (12) months.
6.5 Each member nominated for a position on the Council shall be seconded in
writing by a financial member of the Association and the form shall bear the
signature of the nominee indicating willingness to accept nomination.
6.6 All nominations for position on the Council must be submitted in writing to the
Returning Officer prior to the commencement of the Annual General Meeting.
6.7 Any casual vacancy shall be filled by the Council and the person so
appointed shall hold office for the unexpired portion of the term of the
member he replaced.
7. GENERAL MATTERS
7.1 The Annual General Meeting shall be held in August of each year or at such
time as the Council may from time to time determine.
7.2 The other general meetings shall be held as decided by the Council provided
that upon the written petition of at least twelve (12) members a general
meeting shall be held within 28 days of receipt of such petition.
7.3 At each general meeting of the Association, each financial member shall be
entitled to one vote.
7.4 At least fourteen (14) days before any general meeting a printed notice shall
be sent to all members and shall state the matters.
8. FINANCES
8.1 All finances of the Association shall be recorded and kept up-to-date by the
School and a statement of income and expenditure for the financial year
ending 30th June shall be presented by the Treasurer at the Annual General
Meeting.
8.2 An auditor of the Association shall be appointed at the Annual General
Meeting and the annual statement of income and expenditure shall be
accompanied by a report from such auditor.
8.3 The Council shall cause to be kept an up-to-date record of all gifts and
bequests made to or in favour of the Association, which record shall contain
particulars of all trust conditions and requirements (if any) which the donor
may have prescribed at the time of making the gifts or bequests.
8.4 The funds of the Association shall be used for the promotion of the aims of
the Association.
8.5 The distribution of funds to or amongst the members of the Association shall
be prohibited.
8.6 In the event of dissolution, the funds shall be distributed by the Council in
accordance with the aims of the Association.
9. SUBSCRIPTIONS
9.1 The subscription for ordinary and associate members shall be of such
amounts and for such periods as may be decided by the Council from time to
time and shall fall on the 1st July.
10. PATRONS
10.1 The Council may appoint one or more personalities for a stated period of
time, whether Members or not, as Patrons of the Association. Persons may
be chosen specifically for their standing in the community and interest in the
initiatives of the Council and are able to assist with representation and/or
provide mentoring capabilities.
11. HONOUR BOARD
11.1 The Honour Board will list names of distinguished Associate Graduates who
have excelled in their lives. Their nomination by others must be approved by
at least a two thirds majority of members at a vote during a General Meeting.
12. ALTERATION OF CONSTITUTION
12.1 The terms of the Constitution may be altered or added to by resolution
carried by a two-thirds majority of members voting at any Annual General
Meeting, or general meeting convened for the purpose.
12.2 Any notice of proposed amendment must be in the hand of the Registrar 28
days prior to the next general meeting at which such proposal is to be
considered.
13. INTERPRETATION OF CONSITITUTION
Any question of the interpretation of the Constitution shall be determined by the
Council.
